These terms establish the general framework for using our website and working with Botbel Tech.
Every project is different. Where we agree project-specific commercial, technical or contractual terms with a client, those written terms form part of the relevant engagement.
About these terms
These Terms & Conditions govern your use of the Botbel Tech website and provide general terms applicable when you communicate with or engage Botbel Tech for professional services.
By accessing or using our website, you agree to use it in accordance with these terms and applicable law.
Where Botbel Tech and a client enter into a separate proposal, quotation, statement of work, service agreement or other written agreement, the terms of that agreement will apply to the relevant engagement. If there is a conflict, the specifically agreed written terms will generally take precedence for that engagement.
Our services
Botbel Tech provides digital and eCommerce-related professional services. Depending on the engagement, these may include eCommerce development, marketplace management, digital marketing, technical implementation, consulting, optimization, maintenance and related services.
Development work may involve platforms and technologies such as Shopify, WooCommerce, Magento and other suitable eCommerce systems.
Marketplace services may involve platforms such as Amazon, Flipkart, Meesho and other third-party marketplaces. Marketing services may involve search engines, advertising platforms, social platforms and other third-party marketing technologies.
The exact services, deliverables and responsibilities for a client project should be defined in the applicable proposal, quotation, statement of work or other written agreement.
Project enquiries and proposals
Information submitted through our Contact or Start a Project forms helps us understand your requirements. Submitting an enquiry does not by itself create a client relationship, guarantee acceptance of a project or create an obligation for Botbel Tech to provide services.
Where appropriate, Botbel Tech may provide a proposal, quotation, estimated timeline, recommended scope or other project information after reviewing an enquiry.
Unless otherwise stated, preliminary discussions and estimates may change as requirements are clarified and should not be treated as a final commitment until the relevant scope and commercial terms have been agreed.
Scope of work
The agreed scope of a project defines the work Botbel Tech is responsible for delivering. Clients should review the scope, deliverables, assumptions and exclusions before approving a project.
Requests that materially extend or change an agreed scope may be treated as additional work. Where appropriate, Botbel Tech may provide an updated estimate, timeline or quotation before performing that work.
Additional functionality, integrations, content entry, revisions, marketplace work, marketing activities or technical requirements should not be assumed to be included unless they are part of the agreed scope.
Client responsibilities
Clients are responsible for providing information, content, credentials, approvals, feedback and other materials reasonably required for Botbel Tech to perform the agreed services.
The client is responsible for ensuring that materials supplied to Botbel Tech may lawfully be used for the intended project, including logos, images, trademarks, product information, advertising materials and other intellectual property.
Clients should provide accurate information and timely decisions. Delayed approvals, incomplete materials, inaccessible accounts or changes in requirements may affect delivery schedules.
Timelines and delivery
Project timelines are based on the scope, information and circumstances known when an estimate is provided.
Unless specifically agreed otherwise in writing, timelines should be treated as reasonable delivery estimates rather than guarantees of a fixed completion date.
Delivery may be affected by client response times, scope changes, third-party platforms, technical dependencies, marketplace reviews, external approvals or circumstances reasonably outside Botbel Tech's control.
Fees and payments
Fees, payment milestones, billing schedules and applicable commercial terms may vary depending on the service or project and should be specified in the relevant quotation, proposal, invoice or written agreement.
Clients are responsible for paying agreed invoices in accordance with the applicable payment terms.
Botbel Tech may pause or withhold further work, delivery, support or access to unpaid deliverables where agreed payments remain overdue, subject to the applicable project agreement and law.
Third-party charges such as hosting, domains, software licences, plugins, themes, marketplace charges, advertising spend and platform fees are not included in Botbel Tech's professional fees unless specifically stated.
Revisions and change requests
Where revisions are included in an engagement, their scope or number may be described in the relevant proposal or project agreement.
A request that introduces new functionality, changes an approved direction, replaces completed work or otherwise materially changes the agreed requirements may be treated as a change request rather than a revision.
Change requests may result in additional fees and adjustments to the project timeline.
Third-party platforms and services
Many Botbel Tech services depend on products and platforms operated by third parties. These may include eCommerce platforms, marketplaces, hosting providers, domain registrars, payment providers, advertising platforms, analytics services, plugins, applications and APIs.
Third-party services operate under their own terms, policies, pricing, technical limitations and availability. Botbel Tech does not control these third parties and cannot guarantee their continued operation, approval processes, features or policies.
Changes made by a third-party provider may occasionally require additional development, configuration or maintenance.
Marketplace services
Marketplace accounts remain subject to the rules, policies and decisions of the marketplace operator.
Clients remain responsible for their products, product authenticity, pricing, inventory, taxes, invoices, regulatory compliance, fulfilment information and other business obligations unless a specific responsibility has been expressly assigned to Botbel Tech under a written agreement.
Botbel Tech cannot guarantee listing approval, account approval, continued marketplace access, rankings, Buy Box placement, sales volume or decisions made by a marketplace.
Digital marketing and advertising
Marketing performance is affected by many factors outside the direct control of any agency, including competition, pricing, products, audience demand, website performance, advertising platforms, algorithms, budgets and market conditions.
Accordingly, Botbel Tech does not guarantee specific sales, revenue, return on advertising spend, search rankings, traffic, leads, conversions or other performance outcomes unless a particular obligation is expressly stated in a written agreement.
Advertising spend and charges payable directly to advertising or technology platforms are separate from Botbel Tech service fees unless otherwise agreed.
Intellectual property
Ownership and licensing of project deliverables may depend on the nature of the engagement and any applicable proposal, statement of work or written agreement.
Third-party software, themes, fonts, plugins, libraries, stock materials and other licensed assets remain subject to their respective licences and are not transferred beyond the rights permitted by those licences.
Botbel Tech retains ownership of its pre-existing intellectual property, internal methods, know-how, reusable components, tools and materials unless expressly agreed otherwise.
Portfolio and project references
Botbel Tech may wish to reference completed work in portfolios, proposals, case studies or business development materials.
Where confidentiality requirements, white-label arrangements or other restrictions apply, those requirements should be communicated and agreed as part of the relevant engagement.
Confidentiality
During a project, each party may receive non-public business, commercial or technical information from the other.
Where information is identified as confidential or should reasonably be understood to be confidential, it should be handled appropriately and used for the purpose for which it was provided, subject to any more specific confidentiality agreement between the parties.
This does not prevent disclosure where required by law or where the information is already lawfully public or independently available.
Cancellation and termination
Project cancellation, termination, notice periods, outstanding payments and treatment of work already completed may be governed by the relevant proposal, statement of work or service agreement.
If an engagement ends before completion, the client may remain responsible for fees relating to work already performed, approved third-party costs and other amounts properly due under the applicable agreement.
Botbel Tech may suspend or terminate an engagement where continued performance becomes unlawful, materially impractical or inconsistent with an agreed contract, including circumstances involving serious non-payment or misuse of services.
Website information
We aim to keep information on the Botbel Tech website useful and accurate, but website content is provided for general informational purposes and may change without notice.
General website content should not be treated as a project-specific quotation, guarantee, legal advice, financial advice or other professional advice outside the services expressly agreed with a client.
Limitation of liability
To the extent permitted by applicable law, Botbel Tech will not be responsible for indirect, incidental, special or consequential losses arising solely from use of this website or from circumstances outside our reasonable control.
Liability relating to a paid client engagement may be subject to additional limitations contained in the applicable proposal, statement of work or service agreement.
Nothing in these terms is intended to exclude or limit liability where such exclusion or limitation is prohibited by applicable law.
Privacy
Information submitted through our website is handled in accordance with our Privacy Policy.
The Privacy Policy explains the types of information we may collect, how that information may be used and how you can contact us about privacy-related matters.

Governing law

Specific client engagements may contain additional provisions concerning governing law, jurisdiction or dispute resolution in the applicable written agreement.
